TERMS AND CONDITIONS www.rallysphere.com Effective date: 14th May 2026 Welcome to RallySphere Welcome to RallySphere, the all-in-one sports and community engagement platform built for players, clubs, and organizers. These Terms and Conditions (the “Terms”) govern your use of our website, mobile application, and related services (collectively, the “Platform”). By choosing to use RallySphere, you are joining a growing community of athletes, clubs, and sports enthusiasts who rely on our technology to organize events, track performance, and connect with one another. To keep that community safe, fair, and legally protected, we require all Users to carefully review and accept these Terms. This document sets out the legal obligations of both RallySphere LLC (“RallySphere,” “Company,” “we,” “our,” or “us”) and you, the User (“you,” “your,” or “User”). It explains your rights and responsibilities, how transactions and payments work, and the limitations that apply to your use of our services. It also incorporates, by reference, our Privacy Policy, Cookie Policy, and any other supplemental terms applicable to specific features. If you do not agree with any part of these Terms, you must immediately stop using the Platform. Your continued access or use of RallySphere constitutes your binding acceptance of these Terms in their entirety. 1. Introduction & Acceptance of Terms These Terms and Conditions (“Terms”) form a binding legal agreement between you (“User,” “you,” or “your”) and RallySphere LLC, a limited liability company organized under the laws of the State of Texas, United States (“RallySphere,” “Company,” “we,” “our,” or “us”). By accessing or using the RallySphere mobile application, website located at www.rallysphere.com, or any related services, features, content, or applications (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision of these Terms, you must not access or use the Platform. These Terms apply to all users of the Platform, including but not limited to individual players, clubs, coaches, event organizers, and visitors browsing the Platform. Additional terms and policies, such as our Privacy Policy, Cookie Policy, and Organizer Guidelines, are incorporated herein by reference and form part of this agreement. Use of the Platform constitutes acceptance of these Terms, which remain in full force until terminated in accordance with Section 21 below. 2. Definitions For clarity, the following capitalized terms shall have the meanings ascribed below: • “Platform” refers to RallySphere’s mobile application, website, and all associated services. • “User” means any individual or entity accessing or using the Platform, including but not limited to players, clubs, and organizers. • “Organizer” means a club, facility, or individual who creates, lists, or manages events or activities through the Platform. • “RallyCredits” means non-monetary, virtual rewards issued by RallySphere to Users for engagement and activity. • “Content” means all data, text, graphics, photos, videos, and materials uploaded, posted, or otherwise made available by Users on the Platform. • “AI Features” means RallySphere’s artificial intelligence-driven tools, including but not limited to partner matching, performance analytics, and video analysis. • “Service Fees” means the fees retained by RallySphere in connection with transactions processed through the Platform. 3. Eligibility & Account Registration To access certain features of the Platform, Users must create an account. By registering, you represent and warrant that: • You are at least 13 years of age. If you are between 13 and 17, you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Users under 13 are strictly prohibited from accessing the Platform. • You have full power, capacity, and authority to enter into these Terms and, where applicable, to bind any legal entity on whose behalf you access the Platform. • You will provide accurate, current, and complete information during the registration process and maintain the accuracy of such information thereafter. Mandatory information required at signup includes your full legal name, a valid email address, and a valid mobile phone number. Account creation is subject to SMS one-time passcode (OTP) verification of your phone number before access is granted. For Minor Users (ages 13–17), the phone number provided must be that of the parent or legal Guardian, and the Guardian’s consent to OTP verification constitutes their acknowledgment and approval of the Minor’s account creation. RallySphere reserves the right to require additional verification at any time. Users are responsible for maintaining the confidentiality of login credentials and are fully liable for all activities that occur under their account. RallySphere shall not be liable for any loss or damage arising from unauthorized use of an account. We reserve the right to suspend, restrict, or terminate accounts at our sole discretion if we believe that information provided is inaccurate, incomplete, misleading, or if a User violates any part of these Terms. 3A. Minor Users RallySphere is not directed at children under 13 years of age. Users under the age of 13 are strictly prohibited from accessing or using the Platform. Any account created by a person under the age of 13 will be terminated upon discovery, and any associated data will be deleted in accordance with the Children’s Online Privacy Protection Act (“COPPA”) and applicable law. Users between the ages of 13 and 17 (“Minors”) may access the Platform only with the prior consent of, and under the direct supervision of, a parent or legal guardian (“Guardian”) who is at least 18 years of age. By permitting a Minor to use the Platform, the Guardian agrees to be bound by these Terms on behalf of the Minor and accepts full responsibility for the Minor’s activities on the Platform, including any purchases, event registrations, or content submissions. RallySphere acknowledges that under the laws of certain U.S. states and other jurisdictions, agreements entered into by Minors may be voidable at the Minor’s election. To mitigate this risk, RallySphere requires verifiable Guardian consent for Minor accounts. Any attempt by a Minor to void or disaffirm their use of the Platform must be accompanied by Guardian notification to RallySphere at support@rallysphere.com. Upon confirmed disaffirmance, RallySphere will close the Minor’s account and process any outstanding obligations in accordance with applicable law. RallySphere does not knowingly collect personal information from children under 13. If RallySphere becomes aware that a child under 13 has provided personal information, it will take prompt steps to delete that information. Guardians who believe their child has submitted personal information to the Platform without consent should contact RallySphere immediately at support@rallysphere.com. 4. Platform Services & Scope RallySphere provides a digital ecosystem for recreational sports with a focus on pickleball and related activities. Through the Platform, Users may: • Create and manage personal player profiles. • Establish and promote club and group profiles. • Organize, list, and RSVP to events. • Track performance data, statistics, and engagement history. • Access AI related tools and features. • Earn RallyCredits and other gamification-based rewards. • Purchase merchandise or gear through integrated third-party services. • Utilize analytics and reporting features to enhance engagement. • Enable group chat and messaging functions to facilitate communication between Users, subject to these Terms and the Code of Conduct. • Provide access to the Platform internationally, including outside the United States, while operated under U.S. law. Foreign Users are responsible for ensuring their use complies with local laws. The Platform is intended to facilitate community engagement, event management, and performance tracking. RallySphere does not own, manage, or control events listed on the Platform and assumes no responsibility for the conduct of Organizers, Users, or participants. RallySphere may, in its sole discretion, add, remove, or modify Platform features at any time without notice. Continued use of the Platform following modifications constitutes acceptance of such changes. 5. User Responsibilities & Code of Conduct By using the Platform, you agree to act responsibly, respectfully, and in compliance with applicable laws. Users shall not: • Provide false, misleading, or fraudulent information. • Harass, threaten, or abuse other Users, Organizers, or RallySphere staff. • Post or transmit content that is obscene, defamatory, hateful, or otherwise objectionable. • Use the Platform for unauthorized commercial purposes, advertising, or solicitation. • Interfere with or disrupt the functionality, security, or integrity of the Platform. • Attempt to scrape, harvest, or extract data from the Platform without express written consent. • Violate any applicable sports facility rules, event regulations, or local, state, or federal laws. Users acknowledge that participation in physical sporting activities inherently involves risk. RallySphere does not supervise, direct, or control Users’ activities and assumes no responsibility for personal injury, property damage, or disputes arising out of such participation. Violation of this Code of Conduct may result in suspension or termination of access to the Platform, without refund of any Service Fees, except to the extent that a refund is required due to a confirmed Platform billing error in accordance with Section 8. Communications Disclaimer: RallySphere provides chat and messaging tools for convenience but does not actively monitor all communications. Users are solely responsible for their own messages. RallySphere reserves the right, but not the obligation, to remove, block, or report communications that violate these Terms or applicable law. 6. Organizer & Club Responsibilities Organizers and clubs using the Platform to list or manage events agree to: • Provide accurate, complete, and timely information regarding events, facilities, schedules, and pricing. • Establish and clearly communicate refund, cancellation, and rescheduling policies to participants. • Ensure compliance with all applicable laws, facility rules, safety regulations, and governing sports body standards. • Maintain insurance coverage where required by law or venue policies. • Handle disputes, refunds, and participant communications in a timely and professional manner. Organizers acknowledge and agree that RallySphere is not a party to any transaction between Organizers and participants. RallySphere disclaims all liability arising out of Organizer representations, cancellations, injuries, or disputes. 7. Payments, Fees & Billing Transactions processed through the Platform are powered by approved third-party payment processors engaged by RallySphere from time to time (“Payment Processor”). By using the Platform, you agree to be bound by the applicable Payment Processor’s terms and policies in addition to these Terms. RallySphere may change or replace the Payment Processor at its sole discretion without prior notice to Users. • Service Fees: RallySphere charges a Service Fee on each booking, merchandise purchase, or other paid activity conducted through the Platform. The applicable Service Fee is disclosed at the point of transaction and is automatically deducted before funds are remitted to the Organizer. Service Fees are non-refundable, except in cases of confirmed duplicate charges or verified Platform errors. • Billing Authorization: By submitting payment information, you authorize RallySphere and its payment processors to charge your designated payment method for all amounts due, including applicable Service Fees, taxes, and charges. • Currency: All transactions are processed in U.S. Dollars (USD) unless otherwise indicated. • Future Payment Methods: RallySphere may, at its discretion, enable additional payment options, including digital wallets and cryptocurrencies, at a later stage. Users acknowledge that RallySphere does not hold funds on behalf of Organizers. Funds are disbursed directly to Organizers via the applicable Payment Processor, subject to that processor’s timelines, policies, and account verification requirements. Prior to receiving payments or selling merchandise or tickets through the Platform, Organizers are required to complete club underwriting and identity verification as required by the Payment Processor. RallySphere is not responsible for delays, holds, or reversals imposed by the Payment Processor, including delays arising from incomplete underwriting or verification. 8. Refunds & Cancellations Event participation, bookings, and purchases conducted through the Platform are subject to the refund and cancellation policies established by the Organizer. RallySphere does not set, control, or administer such policies and shall not be liable for any disputes relating to refunds or cancellations. • Organizer Policies: Each Organizer is solely responsible for defining and communicating refund terms to participants. • Service Fees: RallySphere’s Service Fees are non-refundable, except in cases of confirmed duplicate charges or verified Platform errors. • Disputes: Any dispute regarding an event, product, or service—including requests for refunds or chargebacks—must be directed to the Organizer. • Platform Errors: In the rare instance of confirmed billing errors or duplicate transactions caused by RallySphere’s system, RallySphere will provide a corrective refund of the affected amount. By using the Platform, Users agree that RallySphere’s role is limited to facilitating payments and providing digital infrastructure. RallySphere is not responsible for Organizer misrepresentation, cancellations, or participant dissatisfaction. 9. Virtual Rewards & RallyCredits The Platform may include gamification features, including the awarding of RallyCredits, XP points, achievements, or other digital rewards. • No Cash Value: RallyCredits and other rewards have no monetary value, are non-transferable, and cannot be redeemed for cash or cash equivalents. • Restricted Use: RallyCredits are for use exclusively within the Platform for features determined by RallySphere. • Modification or Termination: RallySphere reserves the right to modify, suspend, or discontinue the RallyCredits program at any time without liability to Users. • Fraudulent Use: RallySphere may revoke RallyCredits or other rewards if obtained through fraud, abuse, or violation of these Terms. Users acknowledge that RallyCredits are a promotional tool and do not constitute property or contractual rights. 10. Merchandise & Third-Party Integrations The Platform includes an integrated marketplace (the “RallyStore”) through which clubs and Organizers may list and sell merchandise and products. The RallyStore is strictly limited to sports-related products, club merchandise, sports equipment, event passes, and related goods. Non-sports products, services unrelated to sports or club activities, and any listings that do not fall within these permitted categories are expressly prohibited and will be removed. Before an Organizer or club may receive payments, sell merchandise, or sell tickets through the Platform, that Organizer or club must complete the underwriting and onboarding process required by RallySphere’s third-party Payment Processor. Access to payment and selling features will not be granted until underwriting is successfully completed. • Third-Party Responsibility: RallySphere does not manufacture, ship, or warrant merchandise sold through the Platform. Any purchase constitutes a contract directly between the User and the third-party vendor. • No Warranty: RallySphere disclaims all liability for the quality, safety, or fitness of third-party goods or services. • Disputes: Any disputes relating to merchandise must be resolved directly with the third-party vendor. • Integration Services: Certain features, including payment processing, analytics, or event promotion, may rely on third-party integrations. Users acknowledge that such services are subject to the third party’s terms, not RallySphere’s. • Prohibited Listings: The following are strictly prohibited from being listed, sold, or offered through the Platform: (a) counterfeit, fake, or replica goods; (b) goods that infringe any intellectual property, trademark, copyright, patent, or other proprietary rights; (c) illegal items or items whose sale is prohibited under applicable law; (d) any products that are not sports-related, club-related, or otherwise within the permitted categories described above; and (e) any goods or services that RallySphere determines, in its sole discretion, are inappropriate or inconsistent with the Platform’s purpose. RallySphere reserves the right to remove any non-compliant listing and to take enforcement action against any User or Organizer responsible for such listings, including suspension, account termination, and freezing of associated funds. RallySphere’s role is limited to facilitating access and does not extend to vendor obligations or product performance. 11. User Content & Intellectual Property Rights Users may upload, post, or transmit Content, including text, photos, videos, and other materials, through the Platform. • Ownership: Users retain ownership of their Content. • User Responsibility: Users represent and warrant that they have the necessary rights and permissions to submit Content and that such Content does not infringe any third-party rights. • Monitoring: RallySphere reserves the right, but not the obligation, to monitor, edit, or remove Content that violates these Terms or applicable law. • Prohibited Content: Users may not upload or distribute Content that is unlawful, defamatory, obscene, hateful, or otherwise objectionable. • License to RallySphere: By submitting Content, Users grant RallySphere a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, adapt, publish, publicly display, and distribute such Content for the purposes of operating, improving, and promoting the Platform and its community, including sharing Content on RallySphere’s own social media channels and Platform communications. This license does not extend to use of User Content—including names, likenesses, or photographs—in paid third-party advertising campaigns or for commercial monetisation purposes outside the Platform without the User’s express prior consent. To the extent permitted by law, Users waive any moral rights they may have in such Content in connection with the permitted uses described above. RallySphere does not endorse, guarantee, or assume responsibility for any Content submitted by Users. 12. RallySphere Intellectual Property The Platform, including but not limited to its software, databases, user interface, AI models, trademarks, trade names, logos, and overall design, is the exclusive property of RallySphere and its licensors. • Ownership: All intellectual property rights in the Platform are owned or licensed by RallySphere. • Restrictions: Users may not copy, reproduce, modify, reverse engineer, distribute, sell, or exploit any part of the Platform without RallySphere’s prior written consent. • Trademarks: The RallySphere name and logo are trademarks of RallySphere LLC. Unauthorized use of RallySphere’s trademarks is strictly prohibited. • Reservation of Rights: Except for the limited license granted to Users to access and use the Platform, RallySphere reserves all rights not expressly granted under these Terms. Violation of RallySphere’s intellectual property rights may result in immediate termination of access and potential legal action. 12A. Copyright Infringement & DMCA Policy RallySphere respects the intellectual property rights of others and expects Users to do the same. In accordance with the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512, RallySphere has designated a registered DMCA Agent with the United States Copyright Office to receive notifications of claimed copyright infringement. RallySphere qualifies for and intends to maintain the safe harbor protections available under the DMCA. DMCA Agent RallySphere’s designated DMCA Agent for receipt of infringement notifications is: DMCA Agent: RallySphere LLC Address: RallySphere LLC, 5900 Balcones Drive Ste 100, Austin, TX 78731 US Email: support@rallysphere.com Filing a Takedown Notice If you believe that content on the Platform infringes your copyright, please submit a written notification to the DMCA Agent that includes all of the following: • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf. • Identification of the copyrighted work claimed to have been infringed. • Identification of the material that is claimed to be infringing and information reasonably sufficient to permit RallySphere to locate the material on the Platform (such as a URL). • Your contact information, including name, address, telephone number, and email address. • A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law. • A statement, made under penalty of perjury, that the information in the notification is accurate, and that you are the copyright owner or are authorized to act on the copyright owner’s behalf. Counter-Notice Procedure If you believe content was removed in error, you may submit a written counter-notice to the DMCA Agent including: (a) your physical or electronic signature; (b) identification of the removed material and its former location; (c) a statement under penalty of perjury that the material was removed by mistake or misidentification; and (d) your name, address, telephone number, and a statement consenting to jurisdiction of the federal court in the district where you reside. Upon receipt of a valid counter-notice, RallySphere will forward it to the complainant. If the complainant does not file a court action within ten (10) business days, RallySphere may, in its discretion, restore the removed material. Repeat Infringer Policy In accordance with the DMCA and applicable law, RallySphere maintains a policy of terminating, in appropriate circumstances, the accounts of Users who are determined to be repeat infringers of copyrighted works. RallySphere reserves the right to take down infringing content and terminate accounts without notice where RallySphere determines, in its sole discretion, that the User is a repeat infringer. 13. AI Tools & Analytics Disclaimer RallySphere may introduce new features and technologies, including AI-powered tools and analytics, in the future. Any such features will be subject to these Terms and any additional disclosures or policies provided at the time of release. • Informational Use Only: AI outputs are provided for informational and entertainment purposes. They are not professional coaching, training, or fitness advice. • No Guarantee of Accuracy: RallySphere makes no warranty regarding the accuracy, reliability, or completeness of AI-generated insights. Results may vary based on data quality, user input, and system limitations. • No Liability: Users assume full responsibility for reliance on AI tools. RallySphere shall not be liable for decisions made based on AI outputs, including but not limited to training methods, gameplay strategies, or event participation. • Evolving Technology: Users acknowledge that AI features are experimental and subject to change, refinement, or removal at RallySphere’s discretion. By using AI features, Users expressly agree to these limitations and disclaimers. 14. Data & Privacy Your use of the Platform is also governed by RallySphere’s Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how RallySphere collects, uses, and protects User data. • Collection: RallySphere collects personal data (such as account information, event participation, and analytics) as described in the Privacy Policy. • Payments: Payment information is processed by RallySphere’s third-party Payment Processor and is not stored directly by RallySphere. • Consent: By using the Platform, Users consent to RallySphere’s collection and use of personal data consistent with the Privacy Policy. • Security: While RallySphere implements reasonable safeguards to protect data, no system is entirely secure. Users accept the risk of data transmission over the internet. • Compliance: Users are responsible for ensuring compliance with applicable privacy laws in their jurisdiction. RallySphere currently serves the U.S. market but may expand globally in the future. Users are encouraged to review the Privacy Policy in full to understand how their data is handled. 15. Third-Party Services & Links The Platform may contain links to third-party websites or services, and may integrate with third-party providers, including payment processors, analytics tools, and merchandise vendors. • No Control: RallySphere does not control and is not responsible for the availability, accuracy, or content of third-party websites or services. • User Responsibility: Accessing third-party sites or services is at your own risk and subject to the terms and policies of those providers. • Integrations: Features such as payments (via our third-party Payment Processor), app-store subscriptions, or analytics may require Users to accept additional third-party terms. RallySphere is not liable for failures or misconduct by such third parties. 16. Disclaimers of Warranties The Platform and all services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. • No Guarantee: RallySphere makes no representation or warranty that the Platform will be uninterrupted, secure, error-free, or free of harmful components. • Results Disclaimer: RallySphere does not warrant that use of the Platform, including AI tools and analytics, will result in specific outcomes such as improved athletic performance, increased event attendance, or successful matchmaking. • Merchantability & Fitness: To the fullest extent permitted by law, RallySphere disclaims all warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Users assume all risks associated with reliance on the Platform. 17. Limitation of Liability To the maximum extent permitted by law: • RallySphere shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from use of the Platform. • RallySphere is not liable for disputes between Users, event cancellations, personal injuries sustained during sporting activities, or reliance on AI analytics. • RallySphere’s total liability to any User for any claim arising under these Terms shall not exceed the total amount of Service Fees paid by the User to RallySphere in the twelve (12) months preceding the claim. This limitation applies regardless of legal theory, whether in contract, tort, negligence, or otherwise. 18. Indemnification Users agree to indemnify, defend, and hold harmless RallySphere, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including attorneys’ fees) arising out of or related to: • Your violation of these Terms or applicable law. • Your misuse of the Platform or AI features. • Your Content, including claims of intellectual property infringement or violation of third-party rights. • Disputes between you and any other User or Organizer. RallySphere reserves the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate. 19. Prohibited Uses In addition to the conduct restrictions outlined in Section 5, Users may not: • Attempt to hack, probe, or test the vulnerability of the Platform. • Circumvent security measures or access systems without authorization. • Use bots, crawlers, or automated systems to access or scrape data. • Engage in resale, redistribution, or commercial exploitation of the Platform without written consent. • Upload viruses, malware, or harmful code. • Misrepresent affiliation with RallySphere. • Use chat or messaging features to transmit spam, harassment, threats, obscene or illegal material, or to impersonate others. Violations may result in immediate account suspension, legal action, and referral to law enforcement. 20. Fraud, Impersonation & Platform Integrity RallySphere takes fraud prevention, platform integrity, and User safety extremely seriously. By using the Platform, you acknowledge and agree to the following: • Anti-Fraud: RallySphere operates fraud detection and monitoring systems. Any attempt to engage in fraudulent transactions, chargebacks abuse, fake event listings, false verification, or manipulation of the RallyCredits system constitutes a material breach of these Terms. RallySphere reserves the right to immediately suspend the account, freeze associated funds, reverse fraudulent transactions, and refer the matter to law enforcement or regulatory authorities. • Anti-Impersonation: Users may not impersonate any individual, club, business, celebrity, athlete, RallySphere employee, or other entity on the Platform. Creating an account, profile, or listing using a false identity or under the name of another real person or organization is strictly prohibited. RallySphere reserves the right to permanently remove any impersonating account and, where appropriate, to pursue civil or criminal remedies against the responsible party. • Enforcement Actions: In response to suspected or confirmed violations of this Section or these Terms generally, RallySphere may, in its sole discretion and without prior notice: (a) suspend or permanently terminate a User’s account; (b) remove any content, listings, or profiles; (c) freeze, withhold, or reverse any funds associated with the account; (d) report the User to the applicable Payment Processor; (e) refer the matter to law enforcement; and/or (f) pursue legal action for damages, injunctive relief, or other remedies available under applicable law. These enforcement rights are cumulative and not mutually exclusive. • Fund Holds: Where RallySphere has reasonable grounds to suspect fraudulent activity, a payment dispute, chargebacks, or a violation of these Terms, it may place a hold on any funds pending in the account for such period as is reasonably necessary to investigate and resolve the matter. RallySphere shall not be liable to the User for any loss arising from a good-faith fund hold. 21. Termination & Suspension RallySphere reserves the right, in its sole discretion, to suspend, limit, or terminate User accounts or access to the Platform at any time, with or without notice, for: • Violation of these Terms. • Misuse of Platform features or AI tools. • Non-payment of fees. • Suspected fraudulent, illegal, or abusive activity. • Impersonation of any person, club, entity, or RallySphere personnel. • Listing, selling, or attempting to sell prohibited, counterfeit, infringing, or non-sports products on the Platform. • Failure to complete or maintain required Payment Processor underwriting, verification, or compliance requirements. Upon termination, all licenses granted to Users shall immediately cease. In cases of suspected fraud, impersonation, illegal activity, or breach of payment-related obligations, RallySphere reserves the right to freeze, withhold, or place a hold on any pending or accrued funds associated with the relevant account pending investigation and resolution. RallySphere may, in its sole discretion, refer matters to law enforcement, regulatory authorities, or the applicable Payment Processor. RallySphere shall not be liable for the consequences of termination or fund-freezing measures taken in good faith, though obligations relating to fees, indemnification, and limitation of liability shall survive. 22. Changes to Services & Terms RallySphere may update or modify the Platform and these Terms from time to time. • Notice: Material changes will be communicated via the Platform, email, or other reasonable methods. • Continued Use: Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. • Version Control: Users are encouraged to review the Terms periodically for updates. 23. Governing Law & Jurisdiction These Terms shall be governed by and interpreted under the laws of the State of Texas, United States, without regard to conflict of law rules. Subject to Section 24 (Dispute Resolution & Arbitration), any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Texas. By using the Platform, you consent to the personal jurisdiction and venue of such courts. RallySphere operates the Platform from the United States. Users located outside the United States, including but not limited to Users in Costa Rica, may access the Platform; however, their use remains subject to these Terms and U.S. law. RallySphere makes no representation that the Platform is lawful or appropriate for use in any particular jurisdiction, and Users are solely responsible for compliance with local laws in their country of residence. 24. Dispute Resolution & Arbitration To the fullest extent permitted by law, any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules, which are incorporated by reference into this Section. • Individual Claims Only: All proceedings shall be conducted solely on an individual basis. Users waive any right to participate in a class action, collective action, or other representative proceeding. • Venue: Unless otherwise agreed by the parties, arbitration shall take place in Texas, United States. Users located outside the United States, including in Costa Rica, agree that arbitration shall still be conducted under U.S. law and administered by the AAA. • Exceptions: Either party may bring an action in court for (a) injunctive relief, or (b) protection or enforcement of intellectual property rights, without first engaging in arbitration. • Survival: This arbitration agreement shall be interpreted broadly to cover all disputes arising from these Terms or the Platform, and it shall survive termination of these Terms and closure of any User account. • Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to RallySphere at legal@rallysphere.com within thirty (30) days of the date you first agree to these Terms (the “Opt-Out Deadline”). Your opt-out notice must include your full name, email address, and a clear statement that you wish to opt out of the arbitration agreement in these Terms. If you opt out, all disputes shall be resolved exclusively in the state or federal courts located in Texas, as set out in Section 23. Opting out of arbitration does not affect any other provision of these Terms. If you do not opt out by the Opt-Out Deadline, you will be deemed to have accepted this arbitration agreement in full. 25. Severability & Survival If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The following sections shall survive termination of these Terms: Minor Users (Section 3A), User Content & IP (Section 11), RallySphere IP (Section 12), DMCA Policy (Section 12A), AI Disclaimer (Section 13), Limitations of Liability (Section 17), Indemnification (Section 18), Governing Law (Section 23), Dispute Resolution & Arbitration (Section 24), and this Section 25. 26.
